Welcome to GridSpan, operated by American Power Span LLC, a limited liability company based in the state of Arizona ("Company", "we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of our website (https://usgridspan.com), digital services, and any related communications, materials, documents, or services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use our Services.

1. Eligibility

2. Scope of Services

GridSpan provides data collection, utility design, 3D modeling, and infrastructure consulting services primarily for power companies, cooperatives, broadband providers, and municipalities. Specific service terms, scope, deliverables, and compensation will be governed by individual contracts or project agreements outside of this general ToS.

3. Intellectual Property

All content, including but not limited to our website design, text, graphics, software, data output, and logos, is the property of American Power Span LLC or its licensors and is protected by applicable intellectual property laws.

You may not copy, reproduce, republish, modify, reverse engineer, or distribute any part of our content or Services without our prior written consent.

4. Confidentiality

Any non-public information disclosed by either party in connection with any project or business arrangement shall remain confidential unless otherwise agreed in writing. Both parties agree to take reasonable steps to protect such information and not to disclose it to third parties without consent.

5. Prohibited Activities

You agree not to:

  • Use our website or Services for any unlawful purpose.

  • Attempt to access or tamper with our systems or security features.

  • Use any automated means (bots, scrapers, crawlers) to collect data or content from our website.

  • Misrepresent yourself or your affiliation with any entity.

  • Attempt to reverse-engineer any proprietary systems or data structures.

6. Payment Terms

All payments for services will be governed by separately negotiated contracts, proposals, or invoices. Unless otherwise stated:

  • Payments are due in U.S. dollars.

  • Late payments may be subject to interest and/or collection fees.

  • Deposits may be non-refundable if work has commenced.

Failure to pay in accordance with contract terms may result in service suspension or legal action.

7. No Warranties

Our Services are provided “as is” and “as available.” We make no warranties, express or implied, regarding the accuracy, reliability, or completeness of our website or Services.

We disclaim all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

8. Limitation of Liability

To the maximum extent permitted by law, in no event shall American Power Span LLC, its owners, employees, contractors, or affiliates be liable for any direct, indirect, incidental, consequential, or punitive damages, including but not limited to:

  • Loss of profits or business opportunities

  • Project delays or delivery failures

  • Data loss

  • Personal injury

This applies even if we have been advised of the possibility of such damages.

You agree to indemnify and hold harmless American Power Span LLC, its affiliates, officers, employees, and agents from any claims, liabilities, damages, losses, and expenses (including attorneys’ fees) arising out of or related to:

  • Your use of the Services

  • Your violation of these Terms

  • Any breach of applicable laws or third-party rights

10. Termination

We reserve the right to terminate or suspend your access to our Services at any time, for any reason, without notice, including for violation of these Terms.

Any provisions which by their nature should survive termination (e.g., confidentiality, intellectual property, indemnification) shall remain in effect.

11. Third-Party Tools & Services

We may integrate with third-party platforms such as Microsoft 365, IKE GPS, Box, or others. These platforms have their own terms and privacy policies. We are not responsible for any actions, failures, or data usage by these third-party providers.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law provisions. Any disputes shall be subject to the exclusive jurisdiction of the courts in Pima County, Arizona.

13. Modifications to Terms

We may revise these Terms at any time by posting an updated version on our website. Continued use of our Services after such changes constitutes your acceptance of the updated Terms.

14. Force Majeure

We shall not be liable for any failure or delay in performance due to events beyond our reasonable control, including but not limited to natural disasters, war, strikes, internet outages, equipment failure, or government restrictions.
